The Managing Director of BPS World announced:

“We are going to open an office in Europe”

The company has clients throughout Europe so we needed a central location with good transport infrastructure and it had to be cost effective, have a well-educated candidate marketplace that is multilingual and….

“ I am already interviewing so need this to happen sharpish”

The Project Management Office in BPS World looks after such initiatives. Determining where to register a business wasn’t a difficult exercise with the clear brief provided. Research pointed at the Czech Republic and further investigation supported the thinking of Prague being a forward thinking city with a pro-international business policy.

So what’s involved in setting up a business in the Czech Republic?  BPS World is a Recruitment Process Outsourcing Company and by virtue of the services provided a full company registration was required as not only will we be employing, but also hiring contract workforce on behalf of our clients. To ensure conformity we elected to work with an in-country accountant with specific experience in setting up international entities. It is here we spent a significant amount of time researching a number of organisations to ensure we were going to work with a specialist who was based in Prague and could demonstrate the ability to discuss different commercial structures, corporate taxation, compliance legislation, and full understanding of required Trade licenses.

In terms of documentation required for the application, proposed directors had to provide criminal background checks - Disclosure Scotland was sufficient. This certification was subsequently endorsed by a UK Notary for authentication. Additionally, full detail of the company shareholding and ownership had to be declared and certified. Companies House documentation was used and authorised by BPS World’s legal representation. Both sets of completed documentation were submitted to the UK government Apostille stamping service prior to visiting Prague to complete the registration in person with a local notary. An Apostille certificate confirms the validity of signatures and can be presented to any country that recognizes the Apostille.

Once registration was complete the application for trade licences to operate commenced…more on that in the next blog, along with how BPS World Inc was set up in the USA.
